Board of Directors

In addition to Greg Morrison who as President and CEO is also a director of Imagine Group Holdings Limited, Bermuda (see Senior Management for bio), the remaining members of Imagine's Board of Directors and their respective biographical information are as follows:

Frank Potter became an independent director of Imagine in 2005 and Chairman in December 2006. Mr. Potter has an extensive background in international banking in Europe, the Middle East and the United States and is a former Executive Director of The World Bank and International Finance Corporation in Washington, D.C. More recently, he was special advisor to the Department of Finance in Ottawa. Mr. Potter has been Chairman of Emerging Markets Advisors Inc. since 1995 and is a director of a number of public, private and not-for-profit organizations in Canada and internationally.

George Gleadall became a director of Imagine at its inception in 2000 and served as Chairman for 6 years. Mr. Gleadall stepped down as Imagine's Chairman in December 2006 and remains on the Board as a director. Mr. Gleadall currently holds a number of other directorships with subsidiaries of Imagine, specifically Imagine Insurance Company Limited, Barbados where he is Chairman, and with other subsidiaries of our parent company, Brookfield Asset Management. Mr. Gleadall is President of Trilon International Inc., an affiliated company through which Brookfield Asset Management controls its shareholding in Imagine. Prior to joining Trilon, Mr. Gleadall held a variety of management positions in businesses in the Caribbean, Canada and South Africa. Mr. Gleadall has served as President of the Barbados International Business Association and is a Fellow of the Institute of Chartered Secretaries and the Institute of Chartered Management Accountants, as well as a member of the Society of Management Accountants and holds a Master of Business Administration degree in international finance from the Manchester Business School, U.K.

George E. Myhal has served as a director of Imagine since its inception in 2000. Mr. Myhal is Managing Partner and Chief Operating Officer of Imagine's parent company, Brookfield Asset Management (NYSE: BAM) and has primary responsibility for strategic planning and business development. Mr. Myhal has held a number of senior positions within Brookfield since joining the company in 1981 and has been instrumental in the development and growth of Brookfield's asset management business. He holds directorships in the following public companies: NBS Technologies Inc., MediSolution Ltd., Royal LePage Financial Services Fund and GLP NT Corporation. Mr. Myhal is also Chair of the Dean's Advisory Board, Faculty of Applied Science at the University of Toronto, a member of that University's Governing Council and a director of Harbourfront Centre in Toronto, Canada.

Ronald M. Freeman became an independent director of Imagine in 2006. Mr. Freeman has an extensive investment banking, capital markets and legal background, having worked as an investment banker for Salomon Brothers (now a unit of Citigroup) and affiliated companies from 1973 to 1991, and again from 1997 to 2000, when he served as Co-Chief Executive Officer and Vice Chairman of Schroeder Salomon Smith Barney International in London. In 1991, Mr. Freeman was nominated by the U.S. Treasury Secretary to serve as First Vice President and Head of Banking Department at the European Bank for Reconstruction and Development (EBRD), a role in which he was confirmed by the EBRD's shareholders and served for two terms until 1997. Mr. Freeman also worked as a consultant for McKinsey & Company and as a lawyer for Baker & McKenzie. Mr. Freeman is a director of or adviser to a number of public, private, educational and not-for-profit organizations in New York, Washington and Paris, including serving on the board of directors and audit committee of Severstal, the board of directors of Troika Dialog, and of Volga Gas, all headquartered in Moscow, and the board of international advisors of Unicredit Bank, Milan.

Phillip Peller became an independent director of Imagine in 2006. As a former partner of Andersen Worldwide SC, a firm he was associated with for almost 40 years, Mr. Peller has an extensive background in accounting, auditing and risk management. Prior to his retirement in 1999, Mr. Peller served as Managing Partner - Practice Protection and Affairs, where he was responsible for overseeing the firm's professional practice litigation and was extensively involved with the firm's Bermuda based insurance company. Prior to assuming his Practice Protection role in 1996, he was the Managing Director - Quality, Risk Management and Professional Competence for Andersen's worldwide audit practice. Over the years, Mr. Peller served on a diverse group of Andersen committees including the Committee on Professional Standards (Vice Chairman), which dealt with professional, regulatory and ethical matters, and the Andersen Worldwide Partners Unit Committee (Chairman). Mr. Peller is a member of the American Institute of CPAs and serves on the board of directors and chairs the audit committee of two New York Stock Exchange listed companies, MSC Industrial Direct Co., Inc and Kenneth Cole Productions, Inc. Mr. Peller served as a trustee of Lehigh University for twelve years and was a member of several Lehigh board committees including the Executive Committee and Chair of the Audit Committee. He is now a Lehigh Trustee Emeritus. Mr. Peller is currently a member of the board of directors of the MS Research Center of New York and serves as its treasurer.

Bruce Robertson became a director of Imagine in 2006. Mr. Robertson is Managing Partner, Funds Development and is responsible for the development of private and listed funds. Since 1996, Mr. Robertson has held various senior management positions within Brookfield and its affiliates, including mergers and acquisitions, corporate financings, merchant banking and corporate restructurings in a number of industries. Mr. Robertson is a Chartered Accountant and earned a Bachelor of Commerce (Honours) at Queen's University.
